• The platform, dashboards, APIs, and AI outputs are provided by Brightwyn Private Limited on an “as is” and “as available” basis, without any representations, guarantees, or warranties of any kind, whether express, implied, or statutory, including (without limitation) warranties of accuracy, completeness, performance, uptime, merchantability, fitness for a particular purpose, non-infringement, or that the services will meet your requirements or be error-free, secure, or uninterrupted.
• AI-generated insights are probabilistic summaries and may be inaccurate, incomplete, biased, or out of date; you are solely responsible for validating any conclusions, outputs, or recommendations before relying on them or taking any business, legal, financial, or other decisions based on them.
• You are solely responsible for ensuring that all required consents, notices, and lawful grounds for processing and recording data (including calls and other personal data) are obtained from your customers, users, prospects, and team members, and that your use of WynLeads complies with all applicable laws and regulations.
• Third-party integrations (telephony, email, payment, AI, analytics, storage, communication tools, etc.) operate under their own terms and privacy practices. Brightwyn Private Limited and WynLeads do not control and expressly disclaim any responsibility or liability for outages, delays, security incidents, data loss, inaccuracies, or data handling practices of those providers.
• No information or advice obtained from Brightwyn Private Limited, WynLeads, or through the services (whether written, oral, or otherwise) shall create any warranty or representation other than those expressly set out in a written agreement signed by an authorized representative of Brightwyn Private Limited.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Brightwyn Private Limited, WynLeads, and each of their respective affiliates, partners, directors, employees, agents, and contractors will not be liable for any indirect, consequential, exemplary, incidental, punitive, or special damages, or for any loss of profits, revenues, goodwill, opportunities, or data, or for business interruption, whether arising in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, in no event shall the aggregate liability of Brightwyn Private Limited, WynLeads, and their affiliates, related to or arising from the services, this Privacy Policy, or your use of or inability to use the services, exceed the total fees (if any) actually paid by you to Brightwyn Private Limited for the WynLeads services during the twelve (12) months immediately preceding the event giving rise to such claim. If you use the services free of charge, our aggregate liability shall be limited to INR 1,000.

Without limiting the generality of the foregoing, we do not assume liability for any unauthorized access to or use of your accounts, credentials, or data, any data loss, corruption, or disclosure, any interruptions, outages, delays, or failures of the services or third-party providers, any force majeure events (including acts of God, natural disasters, internet failures, power outages, or governmental actions), or your failure to maintain appropriate backups, security controls, or compliance with applicable laws.

12. Indemnification

You agree to defend, indemnify, and hold harmless Brightwyn Private Limited, WynLeads, and their respective affiliates, partners, directors, employees, and agents from and against any and all claims, demands, actions, disputes, proceedings, losses, damages, liabilities, penalties, fines, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your data or content; (b) your use of the services; (c) your violation of this Privacy Policy, any other applicable terms, or any law or regulation; (d) your breach of any rights of a third party (including privacy, data protection, or intellectual property rights); and (e) any acts or omissions of your personnel, contractors, or end users. Brightwyn Private Limited may, at its sole discretion, participate in the defense of any indemnified claim at its own expense.

13. Governing Law & Venue

This Privacy Policy, and any dispute or claim arising out of or in connection with it or your use of WynLeads, shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-law principles. Subject to any mandatory provisions of applicable law that provide otherwise, you agree that the courts located in Bengaluru, Karnataka, India shall have exclusive jurisdiction and venue over any such dispute or claim, and you irrevocably submit to the personal jurisdiction of such courts.
